                D.            If you access any Anheuser-Busch alcohol related internet sites using your log-in information, you agree that, in addition to these Terms of Use, your use of that site is also subject to the terms of use on that site.  In the event of a conflict with respect to your use of these sites, the terms of use of that site shall control.

2.             Definitions
                 A.       “YOU” MEANS THE PERSON USING THIS SITE.
                B.             “WE”, “US” OR “OUR” MEANS ANHEUSER-BUSCH, INCORPORATED (“ANHEUSER-BUSCH”).
                C.            “THIS SITE” OR “THE SITE” MEANS THE INTERNET SITE LOCATED AT THE URL BUD.TV.

3.             Registration; Screen Names and Passwords
                A.             You will be required to register as a Member in order to access the Site.  To become a Member, you must be of legal age to consume alcohol in the country in which you are currently located and have a valid, active e-mail address at the time of registration.  To register you will be required to submit at a minimum your full name, zip code, e-mail address (which must be a valid, active e-mail address), date of birth, screen name and password.  We caution against using your full name as your screen name for privacy reasons.   Additional information may be required to register as a Member.  You agree and authorize us to confirm the accuracy of the information you submitted against public records identification.
                B.             With respect to any such registration, we may refuse to grant you, and you may not use, a screen name or e-mail address that is already being used by someone else that may be construed as impersonating another person; that belongs to another person; that violates the intellectual property rights of any person; that is offensive; or that we reject for any other reason in our sole discretion.  You are responsible for maintaining the confidentiality of any password you may use to access the Site, and agree not to transfer your password, screen name or e-mail address, or lend or otherwise transfer your use of or access to the Site, to any third party.  You are fully responsible for all interaction with the Site that occurs in connection with your password, screen name or e-mail address.  You agree to immediately notify us of any unauthorized use or your password, screen name or e-mail address or any other breach of security related to your account or the Site, and to ensure that you “log off”/ exit from your account with the Site (if applicable) at the end of each session.  We are not liable for any loss or damage arising from your failure to comply with any of the foregoing obligations. 

4.                     Your Use of the Site
You are permitted to use this Site as follows:
                A.             You must comply with all applicable laws, rules and regulations while using the Site.  Except as provided in these Terms of Use or on the Site, you may not distribute, modify, copy, download, transmit, display, reuse, reproduce, publish, license, create derivative works from, transfer, sell or otherwise use content without Anheuser-Busch’s written permission.
                B.             You are prohibited from using the Site to post or transmit any infringing, threatening, false, misleading, abusive, harassing, libelous, defamatory, vulgar, obscene, scandalous, inflammatory, pornographic, or profane material or any material that could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any law.  We will fully cooperate with any law enforcement authorities or any court order requesting or directing us to disclose the identity of anyone posting or transmitting any such information or materials.   
                C.            You are prohibited from using the Site to impersonate any person or entity, including any Site moderator, or falsely stating or otherwise misrepresenting your affiliation with any person or entity in connection with the Site; or stating or implying that we endorse any statement you make;
                D.            You are prohibited from using the Site to advertise or perform any commercial solicitation, or otherwise exploiting for any commercial purpose any portion of, use of, or access to the Site;
                E.             You are prohibited from using the Site to post or transmit any virus, worm, Trojan Horse, easter egg, time bomb, spyware or other computer code, file or program that is harmful or invasive or may or is intended to damage or hijack the operation of, or to monitor the use of, any hardware, software, or equipment;
                F.             You are prohibited from using the Site to violate the legal rights of others or harvest or collect personally identifiable information about users of the Site;
                G.            You are prohibited from restricting or inhibiting any other person from use of the Site, and from interfering with or disrupting the operation of the Site or the servers or networks used to make the Site available or violating any requirements, procedures, policies or regulations of such networks;
                H.            You are prohibited from modifying, adapting, translating, reverse engineering, decompiling, or disassembling any portion of the Site.

5.             Privacy:  Any personal data (for example, your name, address, telephone number or e-mail address) you transmit to the Site by electronic mail or otherwise in accordance with our instructions will be used by us in accordance with the Site’s Privacy Policy.  Any other communication or material you transmit to the Site, such as questions, comments, suggestions, Submissions, postings to the Message Boards or the like, including such communications or materials containing your own personal date, will be treated as non-confidential and nonproprietary and will not be encrypted or otherwise secured.  You represent and warrant that any information you provide in connection with your use of the Site is and shall remain true, accurate, and complete, and that you will maintain and update such information regularly.  You agree that if any information you provide is false, inaccurate, obsolete, or incomplete, we may terminate your use of the Site, in addition to any other remedies that are available to us at law.

                A.             All the content on this Site is copyrighted unless otherwise noted.  All the copyrighted content is either owned by us or we have permission to use the content from its owners.  Content includes but is not limited to text, images, audio or video.  The content on this Site may not be used by you in any manner, or for any purpose, without our express written permission and/or the consent of any third party we deem necessary, except as provided for herein.  Any unauthorized use by you of the content on this Site may violate copyright laws, trademark laws, the laws of privacy and publicity, and other applicable regulations and statutes.  
                B.             You may download content from the Site, excluding content on this Site’s Message Boards, for use only for noncommercial, personal use, provided that you also retain all copyright and other proprietary notices contained on the content.  You may also download content for use for inclusion in a Submission or as specifically identified in any official rules on the Site.  You agree not to transmit any downloaded content from the Site to anyone under the legal age to consume alcohol in the country in which the recipient is located.

7.             Trademarks:  By entering this Site you acknowledge and agree that any name, logo, trademark, or service mark contained on this Site is owned or licensed by us and may not be used by you without prior written approval.  We will aggressively enforce our intellectual property rights to the full extent of the law. Sound, graphics, charts, text, video, information, or images of places or people are either our property or used on this Site with permission. Nothing contained on this Site should be construed as granting by implication, estoppel, or otherwise, any license or right to use any such trademarks without our written content and/or consent of such third party that owns the trademarks.  Your use of any of these materials is prohibited unless specifically provided for on the Site. Any unauthorized use of these materials may subject you to penalties or damages, including but not limited to those related to violation of trademarks, copyrights, privacy, and publicity rights.

14.           Revision to the Site:  We reserve the right, at any time and from time to time, temporarily or permanently, in whole or in part, to: modify or discontinue the Site, with or without notice; limit the Site’s availability to any person, geographic area, or jurisdiction we choose; charge fees in connection with the use of the Site; modify and/or waive any fees charged in connection with the Site; and/or offer opportunities to some and all users of the Site.  You agree that we will not be liable to you or to any third party for any modification, suspension or discontinuance of the Site, in whole or in part, or of any service, content, Submission, feature or product offered through the Site.  Your continued use of the Site after such changes will indicate your acceptance of such changes. 

15.           Termination:          You agree that we, in our sole discretion, may terminate your access to or use of the Site, at any time and for any reason, including without limitation if we believe that you have violated or acted inconsistently with the letter or spirit of these Terms of Use.  Upon any such termination, your right to use some or all portions of the Site will immediately cease.  You agree that your access to or use of the Site may be terminated or limited without prior notice, and that we may immediately deactivate or delete your account and password, and all related information and files associated with it, and/or bar any further access to such information or files.  You agree that we will not be liable to you or any third party for any termination of your access to the Site or to any such information or files or will be required to make such information or files available to you after any such termination, other than access to any of your personal data continuing in our possession.

18.           Indemnity:   You agree to defend, indemnify and hold harmless Anheuser-Busch, its parents, subsidiaries and affiliates and their respective directors, officers and employees from and against all claims, losses, costs and expenses (including without limitation attorneys fees) arising out of (a) your use of, access to, or activities in connection with, the Site; (b) any violation of these Terms of Use by you or through your account; (c) any allegation that any Submission or posting that you make available or create through the Site infringes or otherwise violates the copyright, trademark, trade secret, privacy or other intellectual property or other rights of any third party; or (d) any claim that one of your Submissions or postings caused damage to a third party.  This defense and indemnification obligation will survive these Terms of Use and your use of the Site. 

19.           General:  Any failure by us to enforce any of its rights under these Terms of Use or applicable laws shall not constitute a waiver of such right.  If any provision of these Terms of Use is found to be invalid, you and we shall endeavor to give effect to the intent reflected in that provision, and the remaining Terms shall retain their full force and effect.

                Sections of the Site may allow Members to communicate with each other through message boards or requests for comments (“Message Boards”).  We grant you permission to use these sections of the Site as follows:
                A.             To post messages or comments, to the Message Boards, you must be a Member.
                B.             You must follow all the general Terms of Use for the Site.               
                C.            You may not post any personal identification, such as license plate numbers, personal names, e-mail addresses, or other indicia identifying any person, or which is otherwise invasive of a person’s privacy.
                D.            You must not solicit personally identifiable information from anyone on the Site.
                E.             You must not post content that is sexually oriented, explicit or suggestive or exploits people in a sexual or violent manner.
                F.             You must not post any content that is unnecessarily violent or derogatory of any ethnic, racial, gender, religious, professional, or age group.
                G.            You must not post any content that harasses or advocates the harassment of another person.

                J.             No posting may contain any content that infringes any party’s trademark, trade secret, copyright, or other proprietary rights. 
                K.             No posting shall involve the transmission of “junk mail”, “chain letters”, or unsolicited mass mailing, instant messaging, “spimming” or “spamming.”
                L.             No posting may contain restricted or password only access to pages or hidden pages or images (those not linked to or from another accessible page).  
                M.            We do not claim any ownership rights in the text, files, images, photos, video, sounds, musical works, works of authorship, or any other materials (collectively “Message Board Content”) that you post on the Site’s Message Boards.  After posting your Message Board Content to the Site’s Message Boards, you continue to retain all ownership rights in such Message Board Content, and you continue to have the right to use your Message Board Content in any way you choose.

22.           Your Use of the Submission Portion of this Site:
                This Site includes opportunities for Members to submit creative works relating to Anheuser-Busch’s alcohol products for review by Anheuser-Busch (“Submissions”).  All Submissions are subject to the following:
                A.             To submit any Submissions for review by Anheuser-Busch, you must be a Member.   
                B.             You must follow all the general Terms of Use for the Site. 
                C.            Sometimes the request for Submissions will be in connection with a contest or challenge.  (“Contest”).  Each Submission in connection with a Contest must comply with the official rules applicable to such Contest.  To the extent that there is a conflict between the official rules and these Terms of Use, the official rules will control. 
                D.            All Submissions become content that is owned by Anheuser-Busch. For all Submissions, you grant to Anheuser-Busch an exclusive, worldwide, perpetual, irrevocable, royalty-free, sub-licensable right to exploit the Submissions and any person’s property (physical, personal, and indicia) contained therein, in any media now or hereafter known, without any payment or other consideration of any kind, or permission or notification, to you or any third party.  We reserve all rights, including without limitation, the right to reproduce, record, alter, amend, edit, publish, publicly perform, use, merchandise, license, sublicense, adapt, and stream the Submission in any and all media now or hereafter known, throughout the world, related to Anheuser-Busch and any promotions sponsored by us. 
               
                E.        You represent and warrant for all Submissions that you are the sole and exclusive owner of the Submissions and you have the full and exclusive right, power, and authority to submit the Submissions. You further represent and warrant that the Submissions will not contain any of the following that are owned by others unless you have written permission from the owner and, if requested to do so, you produce such written consent in a form and manner acceptable to us:

            (i)         trademarks or trade dress;
            (ii)        copyrighted materials (including music and photographs, sculptures, paintings, and other works of art or images published on or in websites, television, movies, or other media);
            (iii)       materials embodying the names, likenesses, voices or other indicia identifying any person, including without limitation, celebrities and/or other public or private figures, living or dead; and
            (iv)      any other intellectual property.

                F.         If any Submission contains persons other than yourself, you represent and warrant that you have obtained from each and every person depicted in the Submission, the express written consent to submit the Submission and allow it to be used in any manner contemplated by these Terms of Use. 
                G.            No person under the age of 21 may appear in a Submission.  In addition, no actor or model under the age of 25 may appear in a Submission. 
                H.            The Submission may not contain look-alikes of celebrities or other public or private figures, living or dead. 
                I.              If your Submission appears to endorse Anheuser-Busch or any of its products or services and/or imply any association with Anheuser-Busch, you consent to such appearance or endorsement and/or association.  If a third party appears to endorse, or be associated with Anheuser-Busch or its products or services, you represent and warrant that you have obtained the express written consent of such third party to such endorsement and/or association (and, if requested to do so, can produce such written consent in a form and manner acceptable to us.) 
                J.             Your Submission must not include any material that promotes the excessive or irresponsible consumption of alcohol or promotes the illegal use of alcohol, drugs or tobacco, firearms/weapons or promotes any activities that may be construed as illegal or violating any law.   Your Submission must not include material that is sexually oriented, explicit or suggestive or exploits people in a sexual or violent manner. 
                K.             For any Submissions, you acknowledge and agree that (a) we reserve the right (but we have no obligation) to evaluate such Submission before allowing it to be posted on the Site or otherwise stored in connection with the Site; and (b) may do one or all of the following, at our discretion: (i) monitor Submissions; (ii) alter, remove, or refuse to post or allow to be posted or stored any Submission; (iii) monitor and/or filter any of your communications through the Site (including without limitation by means of blocking or replacing expletives, or other language that may be deemed harmful or offensive); and/or (iv) disclose any Submissions or any communication through the Site, and the circumstances surrounding the transmission thereof, to any third party in order to operate the Site; to protect us and the Site’s users and visitors; to comply with legal obligations or governmental requests; to enforce these Terms of Use; or for any other reason or purpose. 
                L.             We have no control over, and we shall have no liability for any damages resulting from, the use (including without limitation the republication) or misuse by any third party of information voluntarily made public through any Submission or any other part of the Site.  IF YOU CHOOSE TO MAKE ANY OF YOUR PERSONALLY IDENTIFIABLE INFORMATION OR OTHER INFORMATION PUBLICLY AVAILABLE IN A SUBMISSION, YOU DO SO AT YOUR OWN RISK.
                M.            You acknowledge and agree that no confidential or fiduciary relationship is established between you and us by providing any Submission. You also acknowledge and agree that any ideas, concepts, techniques, procedures, methods, systems, designs, plans, charts, or other materials you transmit to us in a Submission may be used by us anywhere, anytime, and for any reason whatsoever.
                N.            All Submissions become our physical property and will not be returned.   
                O.            You waive any claim of alteration, optical illusion or faulty mechanical or electronic reproduction of any Submission, including without limitation, any claim due to any variation of the color, tone, clarity, cropping or other appearance of any Submission.
